BACKGROUND EXPERIENCE

Mr. Flint has been practicing law in Alaska since 1963 and with Hartig Rhodes since 1988. He represents various banks in complex loan transactions and loan workouts, major corporations and organizations in telecommunications, real estate development, tourism, transportation and adoptions. He is a  nationally recognized municipal bond counsel and has represented numerous clients in public financing matters.

Mr. Flint rendered bond opinions on issues for numerous municipalities and public agencies as well as corporations and other organizations. These bond issues have included general obligation, revenue, industrial development, home mortgage, 501(c) (3), service area, local improvement district, lease revenue, certificates of participation, refunding, and bond revenue anticipation notes. He has also rendered arbitrage opinions and dealt with arbitrage questions on most types of bonds.

Mr. Flint is rated "av" by Martindale-Hubbell Legal Directory. He has been listed in the Municipal Bond Attorney section of the Bond Buyers Directory of Municipal Bond Dealers of the United States (Red Book) since 1973.

Mr. Flint represents several Alaska banks in complex commercial loan transactions and loan workouts. The loan sizes range upward to $35 million. He is general counsel for General Communication, Inc. working in the areas of credit transactions, contracts, acquisitions, and general corporate law. His accomplishments include his work as principal drafter of the Anchorage Municipal Charter (second charter session). He also drafted Alaska legislation relating to municipal finance and debt reimbursement. In addition, Mr. Flint has developed first-time or innovated financial structures for the State of Alaska and municipal financing, including the first insured tax exempt bond in the United States, the first bond issue for the Alaska Industrial Development Authority and creation of the stand alone revenue bond program for the Alaska Industrial Development Authority, which allowed local banks to purchase several hundred million dollars of industrial development bonds for Alaskan projects. He also created the first certificate of participation financing in Alaska for the Seward Student Service Center, which resulted in a substantial annual savings to the State of Alaska over the expected commercial financing. Mr. Flint arranged lease revenue financing for the Municipality of Anchorage's pension fund savings, and issued the first independent bond counsel opinion under the Tax Reform Act of 1986. He also was instrumental in creating the first public authority at the local level in Alaska, the Anchorage Parking Authority, and the issuance of variable rate lease revenue bonds for the construction of its major project. Recent representation includes Alaska Seafood International in the construction of a large seafood processing plant in Anchorage.

Mr. Flint served as counsel to the Governor's Task Force on school debt service reimbursement. He drafted the cash flow refunding legislation which was enacted into law and assisted with the Task Force's successful presentation to the Alaska Legislature for increased levels of school debt reimbursement.
